Contributor Agreement

(Unpaid Editorial Contribution)

This Contributor Agreement (“Agreement”) is entered into as of the date of electronic acceptance (“Effective Date”) by and between:

Publisher: Megagatha LLC, a Michigan limited liability company (“Publisher”)

and

Contributor: The individual submitting creative work through Megagatha’s website (“Contributor”).

1. Contribution

Contributor agrees to submit original creative work (“Work”) for potential inclusion in Publisher’s magazine and related media. The Work may include, but is not limited to, photography, written content, illustrations, designs, patterns, or craft-based works.

Contributor confirms that the Work is original and that they have full authority to grant the rights described in this Agreement.

2. Copyright & License

Contributor retains full copyright ownership of the Work.

Contributor grants Publisher a perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce, publish, distribute, display, archive, and promote the Work in connection with:

• Print editions of the magazine

• Digital editions (including PDF, website, and archives)

• Marketing, promotional, and press materials (including social media)

• Future reprints, special editions, or compilations

Publisher may edit, crop, resize, or format the Work as reasonably necessary for publication, provided that the substantive meaning of the Work is not materially altered.

3. Credit

Publisher agrees to credit Contributor using the preferred name and/or social handle provided by the Contributor at the time of submission, wherever reasonably practical.

Contributor acknowledges that failure to credit due to error, omission, or technical limitation does not constitute a breach of this Agreement.

4. Name & Likeness

Contributor grants Publisher the right to use Contributor’s name, likeness, biography, and submitted materials for purposes of publication, promotion, marketing, and archival use in connection with the magazine and related media.

5. Compensation (Unpaid Contribution)

Contributor understands and agrees that their contribution is voluntary and unpaid.

No monetary compensation, royalties, licensing fees, or future payment is owed for submission, publication, promotion, or reuse of the Work as permitted under this Agreement.

Contributor acknowledges that the sole consideration for participation is editorial exposure, credit, and inclusion in the magazine, and that this does not constitute wages, employment, or a promise of future compensation.

5A. Affiliate Program Participation

Participation in Megagatha LLC’s affiliate program is optional and subject to approval or invitation by Megagatha LLC. Selected contributors may receive a unique affiliate link or promotional code for tracking eligible sales.

Affiliate commission rates are determined based on the contributor’s contribution tier as outlined on Publisher’s website or related contributor materials.

Commissions are paid only on verified purchases made through the contributor’s affiliate link or code. Self-purchases using an affiliate link or code are not eligible for commission.

Megagatha LLC reserves the right to modify commission rates, payout schedules, or affiliate program terms with reasonable notice.

6. Representations & Warranties

Contributor represents and warrants that:

• The Work is original and does not infringe any copyright, trademark, or other proprietary right

• The Work is not defamatory, unlawful, or misleading

• All necessary permissions, licenses, and releases have been obtained

• Contributor has full authority to enter into this Agreement

7. Indemnification

Contributor agrees to indemnify and hold harmless Publisher from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from breach of this Agreement or misuse of third-party materials.

8. Limitation of Liability

To the maximum extent permitted by law, Publisher shall not be liable for any indirect, incidental, consequential, or special damages arising out of or relating to this Agreement.

9. Independent Contractor

Contributor is an independent contractor. Nothing in this Agreement creates an employment, internship, partnership, joint venture, or agency relationship.

10. No Expectation of Employment

Contributor acknowledges that submission or publication of the Work does not create any expectation of employment, internship, ongoing collaboration, or future paid opportunity with Publisher.

11. Editorial Discretion & Termination

Publisher reserves the right to edit, delay, decline, or remove the Work at its editorial discretion. Publisher is under no obligation to publish any submitted Work.

If the Work has already been published, the rights granted under this Agreement shall survive termination.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan.

13. Entire Agreement

This Agreement, together with any applicable addendums, constitutes the entire agreement between the parties and supersedes all prior discussions or understandings.

Any modifications must be made in writing and signed by both parties.

14. Electronic Records

Contributor agrees that Megagatha LLC may retain records of electronic acceptance, and that such records constitute original writings for all purposes.

ADDENDUM A — PHOTOGRAPHER

This Addendum supplements the Master Contributor Agreement.

1. Model & Property Releases

Contributor confirms that all identifiable individuals, private property, or protected locations appearing in the Work have executed valid model and/or property releases, and such releases can be provided upon request.

2. Image Adjustments

Publisher may crop, color-correct, retouch, or resize images for layout, branding, or publication purposes.

3. Liability

Contributor assumes responsibility for missing or defective releases and agrees to indemnify Publisher against related claims.

ADDENDUM B — WRITER

This Addendum supplements the Master Contributor Agreement.

1. Originality & Accuracy

Contributor confirms the Work is original, not plagiarized, and factually accurate to the best of their knowledge.

2. Opinions

Any opinions expressed are clearly presented as opinion and not as statements of fact.

3. Editorial Editing

Publisher may edit the Work for grammar, clarity, length, and style while preserving the original intent.

ADDENDUM C — DESIGNER / CRAFTER / PATTERN CREATOR

This Addendum supplements the Master Contributor Agreement.

1. Ownership

Contributor retains ownership of all designs, patterns, and instructional content included in the Work.

2. Publication Rights

Publisher’s license includes the right to publish, archive, and promote images, excerpts, or descriptions of the designs or patterns in connection with the magazine and its marketing.

3. Commercial Use by Contributor

Contributor may continue to sell, license, or distribute their designs or patterns independently. No exclusivity is implied unless agreed upon in writing.

4. Instructional Content Disclaimer

Contributor confirms that any instructional content or patterns are provided in good faith and are accurate to the best of their knowledge.
